Welcome to Crbit Inc. (“Crbit,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Crbit mobile application and any related services (collectively, the “Services”). By downloading, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Services.

Crbit is a sophisticated personal finance application that allows you to track expenses, collaborate on shared financial goals, review recurring transactions, add receipts, split expenses, and maintain various financial profiles (e.g., personal, family, couple). Please read these Terms carefully to understand your rights and obligations regarding the use of Crbit.

Age Requirement: You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or use the Services. By using Crbit, you represent and warrant that you meet this eligibility requirement.

Legal Capacity: You also represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the obligations herein.

Crbit provides a personal finance management platform that allows users to:

• Connect bank accounts via third-party providers (e.g., Plaid).
• Track daily expenses and recurring transactions.
• Collaborate with others by sharing full financial data.
• Upload receipts, split transactions, and manage multiple profiles.
• Obtain detailed financial insights powered by third-party large language model (LLM) providers.

Disclaimer: The Services are provided for general informational purposes only and do not constitute financial advice. You are responsible for any actions you take based on the information provided by Crbit. Always seek professional advice before making significant financial decisions.

Account Creation: You may need to create an account to access certain features. During registration, you agree to provide accurate and complete information. You are responsible for updating any information to keep it current and accurate.

Credentials: You are responsible for maintaining the confidentiality of your login credentials. Any activity under your account will be deemed to have been performed by you. Notify us immediately of any unauthorized access or use of your account.

By using Crbit, you agree not to:

• Use the Services for any unlawful purpose or to solicit others to perform illegal activities.
• Upload or transmit viruses or any harmful code.
• Interfere with or disrupt the integrity or performance of our Services or the data contained therein.
• Attempt to gain unauthorized access to our systems or other users’ accounts.
• Engage in harassing, abusive, or disruptive behavior.
• Modify, adapt, translate, or create derivative works based on the Services, except as permitted by law or expressly authorized by Crbit.

Any violation of these Terms may result in the suspension or termination of your account and/or access to our Services.

We use Plaid Inc. (“Plaid”) to securely access your bank account information and third-party LLM providers to analyze your financial data. By linking your financial accounts, you agree to Plaid’s Terms of Service and Privacy Policy. When we share your financial data with LLM providers for in-depth analysis, we ensure that your data is handled securely and in compliance with our Privacy Policy.

Important Note: You acknowledge that Plaid and our LLM providers operate under their own terms and policies. We are not responsible for their actions or any potential data breaches or service outages that may occur on their end.

Ownership: Crbit and its licensors retain all intellectual property rights in and to the Services, including but not limited to all software, content, features, and functionality.

User-Generated Content: Any feedback, suggestions, or content you submit (e.g., receipts, notes) remains your property, but you grant Crbit a worldwide, non-exclusive, royalty-free license to use, reproduce, and modify it as needed to operate and improve the Services.

Crbit may offer both free and paid subscription plans. If you choose a paid plan, you agree to pay all applicable fees. We will notify you of any price changes by posting an update or sending you a notification.

Refunds: Unless otherwise stated in a separate agreement or as required by law, fees are non-refundable. For any billing-related inquiries, please contact us at contact@crbit.io.

AS IS BASIS: The Services are provided “AS IS” and “AS AVAILABLE,” without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Accuracy: While Crbit strives to provide accurate financial data and insights, we make no guarantee regarding the completeness or accuracy of the information. You use the Services at your own risk.

To the fullest extent permitted by law, Crbit, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services.

In no event shall our total liability exceed the amount paid by you to Crbit in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars (USD $100), whichever is greater.

You agree to indemnify, defend, and hold harmless Crbit, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or in any way connected to your breach of these Terms or your misuse of the Services.

By You: You may terminate your account at any time by discontinuing use of the Services.

By Us: We reserve the right to suspend or terminate your access to the Services at any time, for any or no reason, including violation of these Terms.

Survival: Any provisions of these Terms that should survive termination (e.g., intellectual property rights, limitation of liability) shall remain in effect even after termination.

We may update these Terms from time to time. Any changes will be effective upon posting the revised Terms, and your continued use of the Services constitutes your acceptance of those changes. We encourage you to periodically review these Terms for the latest information on our policies.

These Terms, and any dispute arising out of or relating to them, shall be governed by the laws of the jurisdictions in which Crbit operates (e.g., United States or Canada), without regard to its conflict of law principles.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Crbit regarding the use of the Services and supersede all prior agreements or understandings, whether written or oral.

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
